GREENE COUNTY DEMOCRATIC PARTY CONSTITUTION AND BY-LAWS

Article I.   Name, Membership, and Eligibility for Office

Section 1.  Name

The name of the organization shall be The Greene County Democratic Party (GCDP).

Section 2.  Membership

Membership in this Party shall be open to all residents of Greene County, in the State of Ohio, who support the constitution of the United States of America, the Constitution of the State of Ohio, and the Constitution and By-laws of The Greene County Democratic Party.  No person may be a member or may vote on any motion, resolution, nomination, or election at any caucus, convention, meeting or conference of The Greene County Democratic Party, who does not meet the aforesaid qualifications or who is a member of any other political party.

Section 3.  Eligibility for Party Office

Any person who meets the membership requirement of Article 1, Section 2, is eligible for election to Party office.  There shall be no minimum age requirements for Party office.

Section 4.  Qualifications

In the event that any person’s qualifications as a member of The Greene County Democratic Party or eligibility for Party office are in question, the majority of the Executive Committee, as determined by roll-call vote, will rule.

Article II.   Constitutions and Laws

Section 1.   Nothing herein shall conflict with the Constitution of the United States of America, the Constitution of the State of Ohio, the laws of the State of Ohio, or the Ohio Democratic Party Constitution and By-laws.  Any matter which conflicts with any of the aforesaid shall be of no force and effect.  All constitutional provisions and laws of the United States and the State of Ohio are hereby incorporated by reference and made a part hereof.  Each clause of this Constitution and By-laws shall be considered separately and the illegality or unenforceability of any one clause shall not affect any other clause.

Section 2.   This Constitution & By-laws shall remain in force unless revoked by the Democratic Party of the State of Ohio or by an amendment to dissolve by 67% of the members of the GCDP Executive Committee meeting called for that purpose.


 

ARTICLE III.  Central Committee and Executive Committee Organization

Section 1.  Control by Law

The controlling entity of the Greene County Democratic Party shall be the GCDP Central Committee, consisting of such membership as shall be elected in each precinct, one per precinct, to a four year term according to the laws of the State of Ohio. The GCDP Central Committee shall elect a GCDP Executive Committee, which shall have such powers as are granted to it by the GCDP Central Committee as provided by law and by the GCDP Constitution and By-laws.

Section 2.  Organization Meeting

The members-elect of the GCDP Central Committee shall meet not earlier than six (6) nor later than fifteen (15) days following the date of the certification by the Greene County Board of Elections of the official results of the primary election. The retiring Chair of the GCDP Central Committee shall designate the time and place in Xenia, Ohio, for this meeting. Notice of such meeting, indicating the date, time, and place, shall be sent to each member-elect by the retiring Secretary of the GCDP Central Committee by U.S. Mail, and a copy of the notice shall be posted in the office of the Greene County Board of Elections at least five (5) days prior to any such meeting. If the retiring Secretary does not issue the call within the time designated by law, any five (5) members-elect may do so. The meeting shall be called to order by the retiring Chair or Secretary or, if such an officer is absent, then by a member of the GCDP Central Committee designated by the Democratic members of the Greene County Board of Elections. A Chair and Secretary shall be chosen by the GCDP Central Committee.

Section 3.  Executive Committee Established

The elected members of the GCDP Central Committee shall then elect themselves to the GCDP Executive Committee.  The GCDP Executive Committee shall convene immediately to select a temporary Chair and secretary, and to set a date, within the next ten (10) days, for the election of officers of the GCDP Executive Committee.  The GCDP Executive Committee shall then be adjourned.

Section 4.  Powers

The GCDP Central Committee shall confer upon the GCDP Executive Committee all power and authority of the GCDP Central Committee and the GCDP Executive Committee shall be authorized to act for the GCDP Central Committee in all things pertaining to the welfare, business, operation and organization of the GCDP Central Committee and the Greene County Democratic Party during the period of its existence, which shall continue until the sixth (6th) day after the certification of the next election of the next GCDP Central Committee at the primary election four years hence.  The Central Committee shall be adjourned indefinitely.

Section 5.  Election of the Executive Committee Officers

The GCDP Executive Committee shall be called to meeting for the purpose of electing officers of the GCDP Executive Committee. The GCDP Executive Committee shall proceed to elect its Chair by a roll call vote.  The Chair need not be a member of the GCDP Central Committee or the GCDP Executive Committee.  The Chair shall automatically become a member of the GCDP Executive Committee.

The GCDP Executive Committee shall proceed to elect a Vice-Chair, Secretary, and Treasurer by a roll call vote. The Chair and the Vice Chair must be of opposite gender.

Section 6.  Executive Committee Composition

The GCDP Executive Committee shall include all Democrats elected to non-partisan or partisan office. If an elected Democrat should vacate his or her position prior to the expiration of the current GCDP Executive Committee, that individual may remain a member of the GCDP Executive Committee at their discretion.

The Chair of the GCDP Executive Committee may recommend any person for membership At-large. The Chair may also recommend persons to fill vacancies in precincts where a person was not elected to the GCDP Central Committee. The GCDP Executive Committee shall proceed to elect such persons by roll call vote.

Section 7.  Attendance

Any Executive Committee Member, except for those who are elected precinct captain by the Democratic residents of their precinct, who misses six consecutive Executive Committee Business Meetings, may be replaced by a majority vote of a quorum of the Executive Committee.  Motions to replace members of the Executive Committee must be proposed at one meeting and voted on at the next regular meeting with a quorum present.

Article IV.  Officers

Section 1Chairperson, Duties and Appointments

The Chair’s duties shall be those of the Chief Executive Officer and shall be subject to the direction of and responsible to the GCDP Executive Committee.

The Chair shall establish a Budget Committee and recommend the appointment of two (2) Members and a Chairperson, subject to a majority vote of the Executive Committee.  The Chair shall also establish an Audit Committee and recommend the appointment of two (2) Members and a Chairperson subject to a majority vote of the Executive Committee.

Upon approval of the Executive Committee, the Chair may establish other such committees and provide for the employment of any office personnel deemed necessary.  All of said appointments and employees shall serve subject to the pleasure of the Chair of the Executive Committee, except the Budget Committee and Chair, the Audit Committee and Chair, who shall serve at the pleasure of the Executive Committee.

Within 30 days following the certified election results, the Chair is responsible for sending a written invitation to all Greene County residing-elected Democrats to join the Executive Committee as At-large members.

Section 2Vice-Chair’s Duties

The Vice-Chair shall act as the Chair in case of death, resignation, incapacity, removal or absence of the Chair, and shall, in such event, have the same powers, duties, and responsibilities as the Chair until the Chair returns to duty or until the GCDP Executive Committee elects a new Chair.

Section 3Vacancies and Removals

Any office may be declared vacant for any purpose by majority vote of the members present provided that written notice of the vacancy question is furnished in the meeting notice in accord with Article VI, Section 2.  Such motion must be made at one meeting and voted on at the next regular meeting.

Section 4.  Secretary’s Duties

The Secretary shall be in charge of all the official documents of the Executive Committee and the preparation of necessary notices, minutes and other documents.  The Secretary shall preserve such files and other documents and open such records for examination at appropriate times at the request of any elected member of the GCDP Executive Committee under rules which may be prescribed by the Executive Committee.

Section 5Treasurer’s Duties

The Treasurer shall have custody of the funds of the party, shall cause all debts and obligations of the Greene County Democratic Party to be paid, and shall render up to date financial reports to each meeting of the Executive Committee.  The Treasurer shall be accountable for all receipts and expenditures of the party subject to the direction of the Budget Committee.   Unbudgeted expenses exceeding five hundred dollars ($500) shall require the approval at a meeting of the Executive Committee.

Section 6Audit Committee

The Chairperson of the Audit Committee shall preside over said Committee.  The Committee shall be responsible to audit the receipts and expenditures of the party.  The Committee shall conduct an audit annually, with every change of the Treasurer, at the end of the Executive Committee term and such other audits as the Chair of the GCDP Executive Committee or the Executive Committee may request.

Section 7Budget Committee

The Chair of the Budget Committee shall preside over said Committee. The Budget Committee shall be responsible for the planning of all expenditures.

Article VState, County, Political Subdivisions and Democratic Clubs – Cooperation

Section 1Chair to Cooperate

The Chairperson of the GCDP Executive Committee shall consult with and cooperate with the precinct captains and all officers of all offices of all Democratic clubs of the Democratic Party within their duly chartered areas of jurisdiction.

Section 2.  Others to Cooperate with Chair

The Executive Committee and the presiding officers of the various chartered Democratic clubs shall consult with and cooperate with the Chair on all matters relating to the business of the Greene County Democratic Party in their respective areas of jurisdiction.

Article VIMeetings

Section 1.  Required and Called Meetings

The GCDP Central Committee shall meet after its election as required by law and this Constitution and By-laws.  The GCDP Executive Committee shall meet immediately upon its election by the GCDP Central Committee and meet at least quarterly thereafter during the period of its existence.  The GCDP Executive Committee may be called to meet by the Chair or by a minimum of five Committee members.

Section 2.  Notice of Meetings

Notice of any meeting, other than the original meeting of the GCDP Executive Committee, specifying time and place, shall be sent by the Secretary in writing through regular United States mail to all members of the Committee not less than five (5) days in advance of the meeting unless otherwise provided by law.

Section 3.  Minutes

Minutes shall be taken of all meetings of the GCDP Central Committee and GCDP Executive Committee.

Section 4.  Quorum

Fifteen (15) members or twenty-five percent (25%) of the Executive Committee Membership, whichever is greater, shall constitute a quorum for conducting any business to come before the Committee.

Section 5.   Only Roll Call Voting

All meetings of the Greene County Democratic Party will be open to the public and no secret ballot shall be used to conduct any vote of the body.


Article VIIPre-primary Endorsements

Section 1.  State Endorsements

In an election year in which the State Democratic Executive Committee makes endorsements The Greene County Democratic Party may aid and assist in the promotion of such endorsements made by the State Committee for the benefit of the Ohio Democratic Party.

Section 2.  District and Local Endorsements

Pre-primary endorsements for any local or district office are for the purpose of encouraging competent, loyal and honest candidates to run and should not be used to discourage equally qualified candidates.  At any time The Greene County Democratic Party may make pre-primary endorsements for any local or district office except Precinct Committeemen providing 2/3 of the members of the GCDP Executive Committee present and voting on such a question, so determine.  At any meeting at which endorsement shall be discussed, notice of the endorsement question shall be furnished in the meeting announcement in accord with Article VI, Section 2.

Article VIIIFinance

Section 1.  Obligation to Raise Funds

The GCDP Executive Committee members shall be obligated to assist in the raising of monies, as shall be determined from time to time by the GCDP Executive Committee, in a manner that is fair, equitable, and uniform throughout the county, taking into consideration the population, Democratic vote and resources in each subdivision.

Section 2.  Budget Approval

An annual budget will be submitted by the Budget Committee for approval.  The first year budget shall be submitted and voted on by the membership as prescribed in Article IV, Section 7

Section 3.  List of Contributions

The Chair of the GCDP Executive Committee shall compile a list of all contributions and monies received at least once a year.  The listing shall be available at the Greene County Democratic Headquarters or from the Treasurer or the Chair of the Party.

Article IX,   Party Unity

All members of the party, candidates for office, party committees and organizations, and elected and appointed Democratic officials shall support the principles of The Greene County Democratic Party.


 

Article X   State Convention, Party Structure – National Guidelines, Party Structure –

The provisions for a State Convention of the Ohio Democratic Party, Party Structure – National Guidelines and Party Structure – State Guidelines as adopted in Article X, Article XI and Article X11 of the Ohio Democratic Constitution and By-laws adopted August 29, 1998, are incorporated herein and made a part of the Constitution and By-laws of The Greene County Democratic Party.

Article XI.   Oath of Office

All officers of The GCDP Central Committee and GCDP Executive Committee shall be required to take an oath of office to support the Constitution of the United States of America, the Constitution of the State of Ohio, and the Constitution and By-laws and the Principles of the Ohio Democratic Party and Constitution and By-laws of The Greene County Democratic Party.

Article XII.   Rules Roberts of Order

Any matters regarding the conduct of the affairs of the GCDP Central and Executive Committees not governed by this Constitution and By-laws or by the convention rules or by the laws of the State of Ohio shall be governed by Roberts Rules of Order, Revised Edition.

Article XIII.   Amendment

The Constitution and By-laws may be amended by 60% of the members of the GCDP Executive Committee present at a legal meeting called for that purpose.  Amendments proposed under this Article must be submitted in writing and copies thereof must be disseminated to each member of the said Committee at a reasonable time prior to an Executive Committee meeting.  Amendments must be disseminated at one meeting and voted on at the next regular meeting.

Article XIV.   Previous Constitution and By-laws

This Constitution and By-laws supersede any and all previous By-laws of the GCDP Central Committee and Executive Committee and shall take effect immediately upon its adoption.
